JD. :
1. Interacting with Shareholders for the problems they are facing try to resolve their queries, which include as follows:

* Dividend Revalidation

* Share Transfer / Transmission

* Duplicate Share Certificate

* Change of Address

2. Co-ordinating with Registrar & Share Transfer Agents for

* Weekly Reports - MIS, BENPOS,

* Shareholders enquiry / problems

* Share Transfer Formalities Entering in Register, getting approval, informing date to R & T Agent, Endorsing Share Certificates.

3. Interaction with Banks with whom we have dividend accounts for Opening Dividend A/c every year.

4. Interacting with Ad Agencies for providing matter for Notice of Board Meetings, Annual General Meeting and for Financial Results & for proof reading of the same.

5. Co-ordinating with Secretarial Consultants for the following reports / forms:

* Secretarial Audit Report,

* 47(C)

* Certification of various e-Forms.

6. Work relating to Board meetings & committee meetings which includes preparing Agenda, Folders , Time schedule, sitting arrangements, ensure all another arrangements & preparing of Resolutions.

7. Compliance with listing agreement & correspondence with Stock Exchanges

* Pre Board Meeting Correspondence,

* Filing of Shareholding Pattern - Clause 35 & Free Float Indices, Clause 47(C )

* Quarterly Compliance Report on Corporate Governance - Clause 49

* Secretarial Audit Report

* Post Board Meeting Correspondence (Financial Results & Press Release)

8. All arrangements related AGM

* Proof Reading of Annual Report

* Follow up with AR Printer / Designer for various things

* Publishing AGM Notice in Newspaper

* Despatch formalities of Annual Reports-Coordination

with Mailing Agent etc

* Dividend related work Opening dividend a/c formalities, Co-ordination for printing of Dividend Warrants, ECS mandates.

* Despatch formalities of Dividend Warrants

* Hall Booking,

* Florist, Photographer, Banners, Inside Hall arrangements), Arrangement of refreshments to Shareholders,

9. e-filing of various forms with ROC

* DIN 1, DIN 2,

* Form 32

* Transfer of Funds to Investor Education & Protection Fund

* Preparation & Submission of Progressive Statements

* Form 20B

* Annual Return, Balance Sheet, FD Return

10. To attend Internal & External Audit Queries.

* Providing Auditors with relevant information / documentation.

11. Updating Statutory Registers (Hard Copy as well as Soft Copy at CHQ and Regd. Office) and assisting the Company Secretary for compliances under Companies Act, 1956.

12. Preparing Minutes of :

* Board Meeting

* Audit Committee Meeting

* Remuneration Committee Meeting

* Shareholders / Investors Grievance Committee

* Share Transfer Committee

* Disinvestment Committee

13. RCD Formalities for Transfer of Dividend to Parent Company.

* Furnishing RCD - 1, RCD 2 to Auditors

* Obtaining Auditors Certificate Form RCD 1

* Providing Form 2, Board Resolution (Recommending Dividend), AGM Resolution (approving Declaration of Dividend), RBI approval Letters for investments made by Huhtavefa B. V.

14. Postal Ballot Formalities as and when required:

* Obtaining License from Post Office

* Co-ordinating with Printer for B. R. Envelops, Postal Ballot Notice, Postal Ballot Form, Outer Envelops

* Co-ordination with Postal Agent for dispatch formalities

* Follow up with R & T Agent for the postal ballots formalities

* Follow up with Scrutinizer for the Results

15. Assisting the Company Secretary in other compliances relating to Factories, labour legislations, Pollution Control Acts, and other related Acts.

INDIRECT TAX FUNCTION:

Knowledge of Excise and service tax laws.

Faced EA 2000 audit and other departmental audits

Attended to Service tax assessments

Attending to various factory queries on indirect taxes

Lending support and to active involvement for indirect tax compliances by the factory, which would require him to travel to factory periodically

Should be able to make reply to show cause notices and handling litigations.

Acumen for updating himself with current developments in indirect tax laws

Candidate Profile Any Graduate.
With 1 - 4 yrs of experience.
Experience in assisting company secretary
